Artist Agreement

This agreement is between you ("you", "the Designer") and It's Only Natural Ltd, a company registered in England and Wales, trading as Fig & Trellis ("Fig & Trellis", "we", "us"). It applies when you submit designs to be printed and sold on our website. By submitting designs for sale you agree to it, together with our Terms of Service.

1. Applying and approval

You must apply and be approved before any of your designs go on sale. We decide whether to approve an application and which designs to list, and we may decline or remove a design at our discretion, for example if it is not a fit for the shop or may infringe someone's rights.

2. Your designs and your promises to us

You keep the copyright in your designs. You promise that you created each design or have the right to license it, that it does not infringe anyone's copyright, trademark, privacy or other rights, and that you have told us if AI tools were used to make it. You will not use third-party trademarks, names or characters in a design's name, description or tags.

3. Permission to print and sell

You give us a non-exclusive, worldwide permission to reproduce, print, display, advertise and sell your designs on wallpaper and related products, and to adjust scale, repeat, cropping or color where needed to print well. You may sell your designs elsewhere. You can ask us to stop selling a design at any time; we will remove it within a reasonable time, and orders already placed may still be fulfilled.

4. Proofs and samples

We will give you a proof of each design and colorway to approve before it goes on sale. A printed sample is available on request, and you pay the cost of samples. Once you approve a proof, we are not responsible for flaws in the design itself.

5. Prices and royalties

We set the retail price of every product.
You receive a royalty of 10% of the retail price paid by the customer for products bearing your design, after any discounts or promotions. For this purpose a discount is never treated as more than 50%.
Monthly bonus. If sales of your designs in a calendar month reach $300 to $999 you receive an extra 1% on that month's sales; $1,000 to $1,499, an extra 3%; $1,500 or more, an extra 5%.
Your own orders. You receive 10% off orders of products printed with your own designs instead of a royalty on them.
No royalty is paid on an order that is returned, refunded or cancelled, or that is the subject of a third-party rights claim. If we have already paid a royalty on such an order, we may deduct it from future payments.

6. Payment

Royalties are paid monthly by PayPal for the previous calendar month, once your balance is at least $10. Smaller balances roll forward. You are responsible for keeping your PayPal details correct.

7. Taxes

Royalties are income and you are responsible for reporting and paying any tax on them. Before your first payment you must give us accurate tax details (for example a W-9 for US persons). We may withhold tax where the law requires it or where your details are missing or wrong.

8. Ending this agreement

Either of us can end this agreement at any time by written notice. We will pay royalties earned up to that point. We may suspend or end your participation immediately if you break this agreement or a design infringes someone's rights, and we may withhold royalties on affected sales.

9. Changes

We may update this agreement. If we do, the new version applies to sales made after the update, and we will tell you by email.

10. General

This agreement is governed by the laws of England and Wales, and the courts of England and Wales have jurisdiction, unless the law where you live gives you the right to bring a claim in your own courts.
